Proceeds to advance planned U.S. silicon wafer manufacturing and strengthen domestic supply of critical solar materials.
Graphene & Solar Technologies Limited (OTCMKTS:GSTX)
PHOENIX, AZ, UNITED STATES, August 20, 2026 /EINPresswire.com/ — Graphene & Solar Technologies Limited (OTCID: GSTX) (“GSTX”) has retained US Capital Global Securities LLC, the SEC-registered broker-dealer affiliate of the global financial group US Capital Global, to act as placement agent in connection with a proposed $40 million convertible note offering with scope for oversubscription.
GSTX is working to re-establish critical solar materials manufacturing capacity outside of China through a vertically integrated platform spanning high-purity quartz, silicon, polysilicon, and silicon wafers. Through a planned global network of QSM-branded manufacturing subsidiaries operating across the United States, Australia, New Zealand, and Europe, GSTX is focused on building resilient Western supply chains for materials used in solar panels, semiconductors, and other advanced technologies.
Through its U.S. subsidiary, Quartz & Silicon Materials Company Limited (“QSM USA”), GSTX’s near-term strategy centers on a silicon wafer production facility in San Diego, California. This existing industrial facility is expected to support 10 GW of annual wafer manufacturing capacity. QSM USA has secured a major long-term offtake agreement with a U.S. solar manufacturer for 30 percent of this plant’s annual production (3 GW). In June QSM USA was awarded a $45 million California Competes Tax Credit over five years in support of its two planned solar materials manufacturing projects in California.
“Engaging US Capital Global Securities and having their participation in this financing is an important reflection of their support for GSTX and the financing strategy behind our planned U.S. wafer manufacturing program,” said Jason May, executive chairman and CEO of GSTX. “We appreciate U.S. Capital Global Securities’ confidence in our business plan as we work to move from project development toward commercial execution. Our immediate priority is domestic silicon wafer production, using a phased approach that allows us to build manufacturing capability now while we develop the upstream materials partnerships needed for long-term scale.”
“GSTX is addressing a strategically important gap in the domestic solar supply chain at a time when energy security, manufacturing resilience, and reduced dependence on imported critical materials have become increasingly important,” said Charles Towle, CEO of US Capital Global Securities LLC. “GSTX has already achieved significant milestones, including a major offtake agreement, California manufacturing incentives, and the development of an integrated supply-chain strategy. We are pleased to be assisting GSTX with this $40 million convertible note offering and invite eligible investors to learn more about this opportunity.”
